Terms of Service

1. Description of Service

ToolHQ provides free online utility tools for image conversion, PDF processing, developer utilities, calculators, text processing, and related tasks. No account, registration, or payment is required to use the Service.

Tools on the Service fall into two categories:

• Client-side tools: Most tools (image converters and compressors, calculators, unit converters, text and developer utilities, QR/barcode generators, and the Background Remover) run entirely within your browser. Files and data you process with these tools are never transmitted to our servers.
• Server-assisted tools: Certain tools — including PDF conversion, merging, splitting, and other PDF operations; OCR; PDF translation; website screenshot capture; and audio/video transcription — require temporary server-side processing. Files processed by these tools are automatically deleted immediately after the request completes, as described in Section 6 and our Privacy Policy.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

3. No Account Required

The Service does not require or offer user registration, login, or accounts. We do not maintain user profiles, session data, or persistent user records of any kind. Because there are no accounts, you are solely responsible for saving any output (converted files, generated content, etc.) before closing your browser session — we have no ability to retrieve past results for you.

4. Acceptable Use

You agree not to use the Service to:

• Upload, process, or transmit any content that is unlawful, infringing, defamatory, obscene, or that violates the rights of any third party, including intellectual property, privacy, or publicity rights
• Upload or process any file that you do not have the legal right to use, copy, modify, or distribute
• Attempt to gain unauthorized access to the Service, its infrastructure, or any data of other users
• Use automated means (bots, scrapers, or similar) to access the Service in a way that circumvents or places excessive load on rate limits or infrastructure
• Use network-diagnostic or content-fetching tools (including but not limited to the website screenshot tool, broken link checker, port checker, SSL checker, HTTP headers checker, redirect checker, page size checker, or IP/DNS lookup tools) to probe, scan, or access systems, networks, or content you are not authorized to access
• Attempt to circumvent, disable, or reverse-engineer rate limits, upload restrictions, or other technical controls of the Service
• Use the Service to generate, process, or distribute content in violation of applicable local, national, or international law
• Submit content to AI-assisted tools (see Section 5) for the purpose of generating unlawful, deceptive, or harmful material, including but not limited to content intended to impersonate a real person without consent, generate malware or exploit code, or facilitate fraud

You are solely responsible for the content you upload, process, or generate using the Service, and for ensuring you have all necessary rights and permissions to do so.

4.1 Usage Limits

To keep the Service available and fair for all users, we enforce technical limits including but not limited to file size caps (up to 50MB per file for most server-processed tools, lower limits for some tools such as transcription), batch limits (up to 20 files / 200MB combined for supported batch tools), and rate limits (requests per minute, varying by tool). These limits may change at any time without notice. Attempting to circumvent these limits is a violation of these Terms.

5. AI-Assisted Features

Certain tools rely on third-party artificial intelligence models and services to generate or process content, including text generation, image analysis, and audio transcription (collectively, “AI-Assisted Features”). Content submitted to AI-Assisted Features is transmitted to the relevant third-party provider solely for the purpose of generating your requested output and is not retained by us beyond the duration of your request.

You acknowledge and agree that:

• Output from AI-Assisted Features is generated automatically and may be inaccurate, incomplete, biased, or inappropriate for your intended use
• You are responsible for independently reviewing and verifying any AI-generated or AI-processed output before relying on it, publishing it, or using it for any consequential purpose (including but not limited to legal, medical, financial, academic, or professional use)
• We do not guarantee the accuracy, reliability, or availability of any AI-Assisted Feature, as these depend in part on third-party infrastructure outside our control
• Some AI-Assisted Features (such as the Background Remover) process your data entirely within your browser and never transmit it to us or any third party; others (such as text generation and transcription tools) transmit your input to a third-party AI provider as necessary to provide the feature

6. Data Handling for Server-Assisted Tools

For tools that require server-side processing:

• Uploaded files are stored temporarily on our server infrastructure solely for the duration necessary to complete your request
• Files are automatically deleted immediately after processing is complete, whether the request succeeds or fails
• We do not review, retain, back up, or use uploaded file content for any purpose other than fulfilling your specific request
• For the transcription tool specifically, audio/video files are temporarily stored via our cloud storage provider and deleted immediately after transcription completes or fails

7. Third-Party Content and Services

Certain tools allow you to fetch, analyze, or interact with content or systems hosted by third parties (for example, website screenshots, broken link checking, IP/DNS lookups, or URL shortening). We do not review, endorse, or take responsibility for third-party content or systems accessed through these tools. Your use of such tools with respect to third-party websites, servers, or services remains subject to any terms of service, access restrictions, or legal rights applicable to that third party, and you are solely responsible for ensuring you have authorization to access or scan the systems you target.

The Service also relies on third-party infrastructure and AI providers to deliver certain functionality. We are not responsible for outages, errors, or changes in behavior of the Service that result from third-party service disruptions.

8. Intellectual Property

8.1 Our Content

The Service, including its design, source code, trademarks, logos, and original written content, is owned by Everstone Dynamics LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service without our prior written consent, except as expressly permitted by these Terms.

8.2 Your Content

You retain all rights to any files, text, or other content you upload to or process through the Service (“Your Content”). For client-side tools, Your Content never leaves your device, and we have no access to it. For server-assisted tools, you grant us a limited, non-exclusive, temporary license to process Your Content solely for the purpose of providing the requested functionality; this license terminates automatically upon deletion of the file as described in Section 6. We do not claim ownership of Your Content and do not use it for training, marketing, or any purpose beyond fulfilling your request.

9. Copyright Complaints

If you believe content accessible through the Service infringes your copyright, please contact us at contact@toolhq.app with (a) a description of the copyrighted work, (b) the specific tool or URL involved, (c) your contact information, and (d) a statement that you have a good-faith belief the use is not authorized. Because the Service does not host or store persistent user-generated content, most complaints will relate to third-party content accessed via tools described in Section 7, and we will address such reports on a best-effort basis.

10. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT (INCLUDING CONVERTED FILES, TRANSCRIPTIONS, OR AI-GENERATED CONTENT) WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR INTENDED USE. YOU USE THE SERVICE AND RELY ON ITS OUTPUT AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERSTONE DYNAMICS LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, LOSS OF FILES DUE TO OUR AUTOMATIC DELETION PROCESS, INACCURACIES IN AI-GENERATED OR AI-PROCESSED OUTPUT, OR SERVICE INTERRUPTIONS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50), AS THE SERVICE IS PROVIDED FREE OF CHARGE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Everstone Dynamics LLC and its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any rights of a third party, including intellectual property or privacy rights; or (e) your use of the Service’s network tools to access or scan any system or content without proper authorization.

13. Advertising and Third-Party Services

The Service displays advertisements served by Google AdSense, which may use cookies to serve personalized ads based on your visit to this and other websites. You can opt out of personalized advertising through Google’s Ad Settings. Further detail on cookies and advertising is available in our Privacy Policy.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time without notice, including changes to available tools, usage limits, or underlying AI/service providers. We may revise these Terms from time to time. The updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

15. Termination

We reserve the right to suspend or terminate your access to the Service, without notice, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason at our discretion. Because the Service does not use accounts, “termination” may take the form of IP-based or technical access restrictions.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
